Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Cerf Asia Sdn. Bhd. ("Ionkol") and you ("you") governing your access to and use all content, analyses, documentation, products and online services ("Services") made available via https://ionkol.com/ ("Site"). Ionkol reserves the right to amend or update these Terms at any time. Any modification will be posted on the Site. By indicating your acceptance of these Terms on the designated sign-up page, you (i) acknowledge and accept these Terms in full; (ii) agree to be bound by these Terms; and (iii) confirm that you have entered into a binding contract with Ionkol.

Please read these Terms carefully, as they govern your rights and obligations in respect of your use of the Site and Services.

1. Agreement Acceptance

1.1. Terms, unamended and in their entirety, constitute a binding agreement between you and Ionkol. By accessing or utilising the Site and/or Services – whether in your individual capacity or on behalf of a corporate or other legal entity – you confirm that you have read, understood and unconditionally agree to be bound by these Terms. If you enter into these Terms on behalf of a corporate or other legal entity, you hereby warrant that you possess full authority to bind that entity and its affiliates, in which event the terms "you" or "your" shall be construed to refer to such entity and its affiliates. Should you withhold your agreement, you must refrain from all use of the Site and Services.

1.2. The Service is administered, operated and controlled by Ionkol from its offices in Asia. The content and materials provided on the Site are not intended for dissemination to or use by any individual or organisation in any jurisdiction where such distribution or use would contravene applicable law, regulation or require registration. Accordingly, any person who elects to access the Site from jurisdictions beyond those expressly contemplated does so at their sole initiative and bears all responsibility for compliance with local laws where applicable.

1.3. Access to and registration for the Site is strictly limited to individuals aged eighteen (18) years or over. Persons under the age of eighteen are expressly prohibited from using or registering for the Site.

2. Amendments

2.1. Ionkol may from time to time, vary or modify the Terms including any Policies by updating a revised version on the Site. The modified Terms and or any Policies will become effective upon posting (effective date below) or, if Ionkol notifies you by email, as stated in the email message. You acknowledge that you are responsible for reviewing these Terms from time to time to remain aware of any revisions. Your continued use of the Services following the date on which any amended Terms come into effect shall constitute your acceptance of those changes. Should you disagree with the revised Terms, you must immediately cease all use of the Services.

3. Your Use of This Service

3.1. Ionkol's online platform is provided to facilitate the discovery and assessment of publicly accessible social-network accounts. In particular, the platform enables you to analyse the quality of a user's followers, distinguishing genuine subscribers from those automatically generated in bad faith. Upon completion of the Services, you will receive the resulting analyses ("Analyse").

3.2. Subject to your strict compliance with these Terms, Ionkol grants you a limited, non-exclusive, non-transferable, personal and non-assignable licence to access and use the Site and Services. You agree not to reproduce, duplicate, copy, sell, trade or resell the Services or any portion thereof, nor to remove, obscure or alter any copyright or proprietary notices. You shall not copy, modify, adapt, translate or otherwise create derivative works from any content obtained via the Site and Services, nor attempt (or assist others to attempt) to reverse-engineer, decompile or disassemble any portion of the source code of the software. You undertake to comply with all applicable laws and regulations in accessing and using the Site and Services.

3.3. To utilise the Services, you must register for an account ("Account") and will be issued with a username and password ("User ID"). You are solely responsible for maintaining the confidentiality of your User ID and must not disclose it to any third party, nor harvest or collect personal data from other Ionkol users. Ionkol reserves the absolute right to disable or suspend your Account at any time, which may prevent you from accessing the Site, your account information or any associated use of the Site.

3.4. By registering with Ionkol, you consent to receive electronic communications from us, including but not limited to newsletters, product updates and promotional offers. You may opt out of any category of communication at your discretion.

3.5. You acknowledge and accept responsibility for the use, transfer and processing of any personal data supplied to you by Ionkol. Once such data is transmitted, Ionkol cannot control or be held liable for your purposes in processing. You agree that any unlawful or unauthorised use of that data, or use beyond the scope of legitimate interest, shall render you fully liable under all applicable data protection legislation.

3.6. You undertake to inform each data subject that you have engaged Ionkol to process their personal data and that the analysis you receive will include, without limitation: profile name, picture, profile description, number of likes, commenters and comment content, email address, audience classification and engagement metrics, audience interests and demographics (including age), earnings information, history of profile growth, and an assessment of audience authenticity.

4. Provision of The Service

4.1. Ionkol reserves the absolute right to amend, suspend, discontinue or otherwise vary any aspect of the Services at its sole discretion and will become effective upon posting (effective date below) or, if Ionkol notifies you by email, as stated in the email message.

4.2. You acknowledge that Ionkol may disable or terminate your access to the Services in the event of non-payment or any other material breach of these Terms, which may result in the loss of access to any content or files you have stored on the Site.

4.3. You may hold and operate only one Account per person.

4.4. Data gathered and/or generated and purchases of Services on Site has an expiration date.

4.5. Ionkol may use the data it collects for its own marketing and advertising purposes. Any analyses generated for such internal use will be identical in format and content to the Analyses provided to other customers and shall be governed by the same laws and regulations applicable to all Ionkol activities.

5. Security

5.1. Part of the registration process for the Site, you may be required to furnish certain information, including but not limited to your name, business name, address, telephone number, credit card details and email address. By submitting such information, you represent and warrant that; (i) all information provided is true, accurate, current and complete; (ii) you will promptly update your registration details to maintain their accuracy; (iii) you possess the legal capacity to enter into and comply with these Terms; (iv) you are not a minor under the laws of your place of residence; (v) you will not access the Site by means of automated or non-human methods (e.g. scripts, bots or otherwise); (vi) you will not use the Site for any unlawful or unauthorised purpose; and (vii) your use of the Site will not contravene any applicable law or regulation.

5.2. Should you provide any information that is untrue, inaccurate, not current or incomplete, Ionkol reserves the right to suspend or terminate your account and to refuse any present or future access to the Site, in whole or in part.

5.3. You are solely responsible for safeguarding any tokens, keys or passwords issued for access to the Site and Services. You accept liability for all activity conducted under your credentials. You agree to notify Ionkol immediately upon becoming aware of any unauthorised use of your credentials or any other breach of security. For the purposes of providing technical support, billing assistance or maintaining and improving the Services, Ionkol may, at its discretion, access your credentials. Ionkol further reserves the right to remove, reclaim or modify any username you select if, in its sole judgment, that username is inappropriate, obscene or otherwise objectionable.

6. Personal Data Protection

6.1. By creating an account and providing personal information to us, you agree that we may collect, use, process and disclose such personal information in accordance with the provisions of clause 7.

6.2. You may review and update your personal information within the Website by visiting the "Settings" page for your Account.

6.3. You are under no obligation to provide personal information to us. However, if you choose to withhold the requested personal information, you may not be able to use certain aspects of the Website and you may not be able to receive the Services.

6.4. We use the personal information you provide to; (i) for registration of Account; (ii) for administrative purposes; (iii) verify and carry out payments which you make through the Site; (iv) improve the Site, Services and promotional efforts; (v) develop, operate, improve, deliver and maintain out products and services; (vi) send you information which you may find useful or which you have requested from us, provided you have indicated that you do not object to being contacted for such purposes; (vii) enforce this agreement and other policies; and (viii) to be used for internal record keeping.

6.5. We may share your personal information with; (i) service providers who may view certain information about you through the Site; (ii) our affiliates and third party service providers who assist us in providing the Site and who perform certain functions on our behalf; (iii) parties involved in a transaction involving the purchase, sale, lease, merger or amalgamation or any other acquisition, disposal, or financing of our business or portion of our business; and (iv) other parties if required to do so by law or if we believe that such disclosure is necessary to prevent fraud or crime or to protect the Site and Services or the rights, property or personal safety of any person.

7. Confidentiality

7.1. You shall keep confidential all information and materials about the Site, and all information of a secret, confidential or proprietary nature concerning our business or affairs and which is not otherwise in the public domain that may come into your knowledge or possession as a result of communications between you and Ionkol or the performance of this Agreement ("Confidential Information").

7.2. In the event that we discover that you have made or intend to make or cause to be made any unauthorised disclosure of the Confidential Information, we shall be entitled to take out an injunction against you to restrain you from making any such disclosure. In addition or in the alternative, as the case may be, Ionkol shall be entitled to exercise such legal and equitable remedies as are available in respect of the breach of this Agreement and to further protect the Confidential Information.

7.3. We will not be liable for any loss or damages as a result of your failure to maintain the confidentiality of your account credentials. If you suspect any unauthorized use of your Account, you shall immediately notify Ionkol.

Privacy Policy

8.1. Access to and use of the Site shall be governed by Ionkol's Privacy Policy, accessible here. By accessing or using the Site, you consent to the collection, processing and use of your personal data in accordance with the provisions of that Privacy Policy.

9. Charged Services

9.1. Certain features of the Site or Services are subject to fees ("Charged Services"). To access these Charged Services, you must subscribe to one of the plans listed on https://ionkol.com/en/pricing and complete payment for the selected plan in accordance with clause 9.9. Ionkol may, from time to time, introduce additional payment options. We will notify you of any such enhancements and amend these Terms accordingly. Ionkol shall not be responsible for any fees, commissions or charges imposed by such payment service provider - including without limitation, transaction fees, bank charges or currency conversion costs. All payments due to Ionkol shall be deemed inclusive of any such fees and commissions where applicable.

9.2. All fees and charges are denominated in United States Dollars (USD). You agree to pay all applicable charges either by payment in full on an annual basis or by instalments on a monthly basis.

9.3. All fees are inclusive of any applicable Value Added Tax (VAT). In territories where VAT is not levied, you may remain liable for analogous indirect taxes under local legislation. We recommend that you consult the relevant tax authorities or a professional adviser to determine your specific obligations.

9.4. To access any Services subject to charges, you must furnish the required payment details and comply with the billing procedures in effect, which Ionkol may amend and will become effective upon or, if Ionkol notifies you by email, as stated in the email message. By providing payment information, you warrant that you are authorised to use the chosen payment method and that all details supplied are accurate.

9.5. Refunds can be requested only if you experience technical problems or related to items fully controlled by Ionkol. Refund is granted at Ionkol's sole discretion. Refund decision made by Ionkol is final.

9.6. You must perform your own due diligence and optimise the free plan and deem the Services are suitable to your requirement(s) before committing to any Services on the Site. Subscriptions are billed in advance whether annually or on a monthly basis and are non-refundable once activated. If you elect not to renew your subscription, any unused features or credit will be forfeited upon expiry. Partial use of the Services, upgrades, downgrades, unused features, and/or interruption of service due to circumstances beyond Ionkol's control are non-refundable. Downgrading your Service may result in the loss of content or functionality, and Ionkol accepts no liability for any such loss. Ionkol further reserves the right to suspend or terminate your access to the Services for non-payment. In the event of termination of a monthly subscription prior to the end of its term, you remain liable for the full unexpired period, and you shall bear any costs incurred by Ionkol in recovering outstanding amounts, including debt-collection fees.

9.7. Add-on purchases must be utilised within ninety (90) days from date of purchase. Failure to fully utilise add-on will result in loss of functions and expiration of add-on purchases. Partial use and expiry of add-on Services is non-refundable.

9.8. Should Ionkol terminate your service for a reason other than breach of these Terms. Ionkol will issue a prorated refund for the remainder of paid period of service. Ionkol reserves the right to cancel products and services without refund due to insufficient information and/or document(s). All information and/or document(s) shall be furnished to Ionkol within fourteen (14) days from purchase date, failure to comply will result in cancellation of the products and services.

9.9. We accept payment via Visa and Mastercard. Ionkol reserves the right to correct any pricing errors or mistakes—even after an order has been placed or payment received—and to refuse or cancel any order at our sole discretion.

9.10. Ionkol does not store any credit or debit card information.

10. Content

10.1. You may use any data or content obtained and displayed through the Services solely for informational purposes. You acknowledge that such data may not be comprehensive and is derived from third-party sources, and that Ionkol makes no representations as to its accuracy, completeness or reliability. Any use of that data beyond the scope expressly permitted herein is strictly prohibited. Certain data may require access to third-party websites, which may restrict or prevent Ionkol from providing such content. Furthermore, legal or regulatory requirements may limit Ionkol's ability to use or disclose specific data. You agree to assess and assume all risks associated with your reliance on the Services. By using the Site and Services, you represent and warrant that you possess the requisite financial and commercial expertise to evaluate the merits and risks of the information provided and to apply the Services as an analytical tool. The Services are supplied "as is" without warranty of any kind, and your use thereof is at your sole discretion and risk.

10.2. Availability of data subjects obtained and displayed through the Services has an expiration date of thirty (30) days.

10.3. The Site may include hyperlinks to third-party websites or resources ("External Sites"). Ionkol does not endorse, control or assume responsibility for the availability, content or materials on any External Sites.

10.4. You acknowledge that, in accessing the Site, you may encounter material that you find harmful, offensive, threatening, indecent or otherwise objectionable. Ionkol accepts no liability for any such content, including but not limited to explicit language or other potentially offensive material.

10.5. You shall acknowledge Ionkol as the originator of all data and content supplied under these Terms. Whenever you publish, display or otherwise disseminate Ionkol data or content online, you must; (i) Include a hyperlink to https://ionkol.com/; (ii) Display the Ionkol logo in a clear and prominent manner; and (iii) Credit the material with "fueled by Ionkol."

11. Restrictions

11.1. You may only utilise the Services as expressly permitted by these Terms. Any other use is strictly prohibited, including but not limited to; (i) exceeding five requests to the Site per second; and (ii) one account per individual.

11.2. Accessing any Charged Services without fully completing the associated payment obligations.

11.3. Altering, rerouting or otherwise tampering with the Service or its delivery mechanisms.

11.4. Retaining or using any data or content after Ionkol or the relevant data subject has requested its removal; in such event you must erase that information within seventy-two hours and ensure all third-party recipients do likewise.

11.5. Broadcasting, reproducing, republishing, posting, transmitting or distributing any portion of the Services (other than as specifically allowed pursuant to these Terms).

11.6. Assigning, syndicating, reselling or otherwise transferring to third parties any information obtained via the Services without Ionkol's prior written consent.

11.7. Copying, adapting, creating derivative works, attempting to discover any source code, reverse-engineering or disassembling the Services, or permitting any third party to do so.

11.8. Use the Services in any manner that, in Ionkol's sole judgment, harms Ionkol or its affiliates, resellers, distributors, customers, service providers or suppliers.

11.9. Using the Services in a way that damages, disables, overburdens or impairs them or interferes with any other user's use.

11.10. Incorporating meta-tags or other hidden text utilising Ionkol's name or trademarks without prior written authorisation.

11.11. Displaying the Site or its content within frames, or by any other means, without Ionkol's prior written consent.

11.12. Utilising the Services in breach of any third-party terms of use or other agreements, including any requirement to obtain written permission for certain content.

11.13. Use the Services to stalk, harass, collect or store personal data about any other individual.

11.14. Use any method to compile false or misleading information or content.

11.15. Exploiting the Services in any way that causes harm to minors.

11.16. Use the Services in a manner that infringes the intellectual property or other proprietary rights of any third party.

11.17. Using the Services to gain unauthorised access to third-party systems, user accounts, computer networks or services.

11.18. Employing Ionkol's domain name or contact details as a return address to impersonate Ionkol or any third party.

11.19. Creating multiple tokens, keys or passwords for disruptive or abusive purposes, or with overlapping use cases; bulk creation may result in suspension of all related credentials and, in the event of any breach, permanent deactivation.

11.20. Utilising non-human manner, automated programmes, bots, screen-scraping tools or other unauthorised means to harvest data.

11.21. Acknowledging that, should Ionkol, in its sole discretion, detect multiple accounts or promotional plans associated with a single individual, Ionkol may terminate such accounts or campaigns without prior notice or refund.

12. Publicity

12.1. You hereby authorise Ionkol to feature your name and corporate logo among its clientele listings and on its website.

13. Cancellation or Termination

13.1. You may cancel the Services at any time, with or without cause. You acknowledge that upon cancellation; (i) refund will not be issued; (ii) you remain liable for all fees accrued through the end of your current subscription term; and (iii) your access to the Services, including any keys or passwords, will be withdrawn.

13.2. Ionkol may, at its sole discretion and with or without prior notice, suspend or terminate your keys, passwords or access to the Services for cause. Cause includes, without limitation, any breach of these Terms, discontinuation of the Services or Site, prolonged inactivity, legal compulsion or non-payment of fees.

13.3. Upon cancellation or termination for any reason; (i) all rights to access and use the Services shall immediately cease; (ii) any keys or passwords issued to you shall be deactivated; and (iii) Ionkol shall bear no liability to you or any third party arising from such cessation.

13.4. On expiry or termination of this Agreement, all licences granted hereunder shall immediately terminate, and you must permanently delete any data provided by Ionkol. In adherence to clauses 6 through 12 and clause 22, together with your obligation to pay any outstanding fees, including but not limited to those due under clause 13.1 above, shall survive any expiry or termination of this Agreement for any reason.

13.5. In accordance with clause 9.6, partial use of the Services, upgrades, downgrades, add-ons, unused features, service interruptions beyond Ionkol's reasonable control or any termination of the Agreement are non-refundable and if any prorated payments are at the discretion of Ionkol. Downgrading may result in loss of content or functionality; Ionkol accepts no liability for such loss. In the event of non-payment, Ionkol reserves the right to suspend or terminate your access and to recover any unpaid subscription fees, including costs of collection.

14. Proprietary Rights

14.1. The Site and all related Services are and shall remain the sole and exclusive property of Ionkol. Except as expressly set forth herein, no rights, title or interest in the Site or Services are granted to you, whether by implication, estoppel or otherwise.

14.2. You must not remove, obscure or amend any proprietary notices—including copyright, trademark or other legal legends—affixed to or contained within the Site or Services.

14.3. Ionkol holds the copyright in the Site as a compilation and in all Services delivered through the Site. All materials displayed on the Site—such as text, graphics, logos, button icons, images, data compilations and software—are protected by international copyright laws and remain the property of Ionkol or its licensors.

14.4. Any third-party trade names, trademarks or service marks appearing on the Site or in the Services are owned by their respective proprietors.

14.5. Certain information within the Services may be designated confidential. You undertake not to disclose any such confidential material without the prior written authorisation of Ionkol.

15. Force Majeure

15.1. Ionkol shall not be liable for any failure to perform its obligations under these Terms if the failure results in Ionkol being unable to observe or perform on time its obligation. This includes but not limited to acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, equipment failures, or any other case or any other cause beyond control.

16. Invalidity or Unenforceability

16.1. If any of these Terms is found to be invalid or unenforceable for any reason or to any extent, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining Terms.

17. Limitation of Liability

17.1. To the fullest extent permissible under applicable law, in no event shall Ionkol be liable to you or any third party for any direct, indirect, punitive, exemplary, incidental, special or consequential damages (whether in contract, tort, or otherwise) arising out of or in connection with this Agreement, including, but not limited to, any loss of use, loss of data, business interruption, loss of income or profits, irrespective of whether it had advance notice of the possibility of any such damages.

18. Indemnification

18.1. You agree to indemnify, defend, and hold harmless Ionkol, its officers, directors, employees, managers, shareholders, agents, representatives, subsidiaries, affiliates, suppliers, and licensors from, and against, any claims, proceedings, losses, expenses, damages and costs, including legal fees, arising out of or in connection with; (i) your access of the Site and Services; (ii) use of your Account other than in accordance with this Agreement; (iii) your use of the Site and Services; (iv) your breach of Terms of this Agreement; (v) your violation of law; (vi) your negligence or wilful misconduct; (vii) your violation of the rights of a third party, including the infringement by you of any intellectual property or misappropriation of any proprietary right or trade secret of any person or entity.

19. Modifications

19.1. We reserve the right at any time and from time to time to modify, suspend or discontinue, temporarily or permanently the Site and Services or any part thereof, will become effective upon effective date or, if Ionkol notifies you by email, as stated in the email message. You agree that we will not be liable to you or any third-party for any modification, suspension or discontinuance of the Site or any portion thereof.

20. Governing Law and Jurisdiction

20.1. This Agreement shall be governed by Malaysia law, without regard to excluding its conflicts of law principles. Any disputes, actions, claims or causes of action arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

22. Disclaimer of Warranties And Limitation Of Liability

22.1. In accordance with clause 15 through clause 19, To the fullest extent permitted by applicable law, Ionkol and its affiliates, officers, employees, agents, partners and licensors expressly disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, adequacy or completeness of any information presented on the Site or produced by the Services. The Site and Services are provided on an "as-is" and "as-available" basis without any representation or warranty that they will meet your requirements, be uninterrupted, error-free or secure, or that any defects will be remedied. In no event shall Ionkol or its affiliates be liable for any direct, indirect, incidental, special, punitive or consequential damages, including loss of profits, revenues, data or use, incurred by you or any third party, whether in an action under contract, tort (including negligence), statute or otherwise, even if Ionkol has been advised of the possibility of such damages. Moreover, Ionkol's aggregate liability for any cause of action arising out of or relating to these Terms or the Services shall not exceed the fees actually paid by you for the specific Services giving rise to the claim. Ionkol shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure arises from circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil disturbance, labour disputes, governmental regulations, internet failures, power outages or other similar events. No advice or information, whether oral or written, obtained from Ionkol or through the Services shall create any warranty not expressly stated in these Terms.
